Acceptance of Terms

By accessing or using the SiFi Lending website at sifilending.com ("Site") or any of our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Site.

Simonich Financial, Inc. doing business as SiFi Lending ("we," "us," "our") is a California-licensed mortgage broker, NMLS #2563307, located at 3130 Crow Canyon Place Suite 415, San Ramon, CA 94583.

Services We Provide

SiFi Lending is a mortgage broker. We connect borrowers with wholesale lenders to find suitable loan products. We are not a direct lender and do not lend our own funds.

Our services include:

• Matching borrowers to appropriate lenders based on financial profile
• Submitting loan applications on your behalf to wholesale lenders
• Providing rate comparisons, deal structuring guidance, and AI-assisted analysis
• Coordinating the loan process from application through closing

The lender, not SiFi Lending, makes all credit and underwriting decisions.

No Guarantees

By using our services, you understand and agree that:

• We do not guarantee loan approval. Approval depends on the lender's underwriting criteria and your financial qualifications.
• We do not guarantee specific interest rates or terms. Rates quoted on our website or by our team are estimates subject to change based on market conditions, creditworthiness, and lender requirements.
• Rate quotes are not commitments. A rate is not locked or guaranteed until you receive a written lock confirmation from the lender.
• We are a broker, not a lender. We do not control lender decisions, timelines, or policies.
• AI-generated content is informational only. Responses from our AI chat assistant and Deal Desk tools are not financial, legal, or tax advice.

Your Obligations

When using our Site and services, you agree to:

• Provide accurate, complete, and current information in all forms and communications
• Maintain the confidentiality of any login credentials for our platform
• Use the Site and services in good faith and for lawful purposes only
• Not submit applications or information on behalf of another person without their written authorization
• Notify us promptly if any information you provided changes materially

Providing false information in a mortgage application may constitute fraud under federal and state law.

Communications Consent (TCPA)

By providing your phone number through our website, forms, or to any team member, you consent to receive the following communications from SiFi Lending:

• Phone calls — Including calls using automated dialing systems, for loan status updates, appointment reminders, and follow-up communications
• Text messages (SMS/MMS) — For loan updates, reminders, and marketing messages if you opt in
• Voicemails — Pre-recorded or AI-generated voicemail messages

This consent is not required as a condition of purchasing any service. Message and data rates may apply. Message frequency varies. Reply STOP to opt out of texts; HELP for help. Calls may be recorded (see our Privacy Policy).

Electronic Signatures (E-SIGN Act)

By using our services, you consent to conduct business electronically in accordance with the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state law. This includes:

• Receiving disclosures, notices, and documents electronically
• Signing documents using electronic signature methods
• Agreeing that electronic signatures have the same legal effect as handwritten signatures

You may withdraw your consent to electronic communications at any time by contacting us, though this may limit our ability to serve you.

Intellectual Property

All content on this Site — including text, graphics, logos, images, software, AI-generated outputs, and data compilations — is the property of Simonich Financial, Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, scrape, or create derivative works from any Site content without our prior written consent.

Prohibited Uses

You may not use the Site or services to:

• Scrape, crawl, or automatically extract data from our website
• Reverse engineer, decompile, or attempt to access our source code
• Transmit malware, viruses, or any code designed to harm or intercept systems
• Impersonate another person or entity
• Interfere with the Site's operation, security, or other users' access
• Use our AI tools to generate content for competing services

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• SiFi Lending shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.
• Our total liability to you for any claim arising from your use of the Site or services is limited to the total fees you have paid to SiFi Lending in the 12 months preceding the claim. (Note: borrowers typically pay no direct fees to SiFi Lending, as lender-paid compensation is the standard model.)
• We are not liable for actions, decisions, or omissions of any lender, appraiser, title company, or other third party involved in your loan transaction.

Indemnification

You agree to indemnify, defend, and hold harmless Simonich Financial, Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Site, violation of these Terms, or infringement of any third-party rights.

Dispute Resolution and Arbitration

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, rather than in court.

• Arbitration will take place in Contra Costa County, California, or at a mutually agreed location
• The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction
• Class action waiver: You agree to resolve disputes individually and waive any right to participate in a class action, class arbitration, or representative proceeding
• Small claims exception: Either party may bring an individual action in small claims court for disputes within its jurisdictional limits

30-day opt-out: You may opt out of this arbitration agreement by sending written notice to terms@sifilending.com within 30 days of your first use of the Site. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration.

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles. For any matters not subject to arbitration, the exclusive jurisdiction and venue shall be the state and federal courts located in Contra Costa County, California.

General Provisions

Severability: If any provision of these Terms is held unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SiFi Lending regarding your use of the Site.

Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment: You may not assign your rights under these Terms. We may assign our rights and obligations without restriction.
